  1. Agreement

    1.1. By becoming a member or making use of the Reward Matrix website you agree to be bound by these terms and conditions which govern your use of this website and the Reward Matrix services. You should read the terms and conditions carefully to understand your obligations as a member and Reward Matrix’s obligations to you.
    1.2. Reward Matrix reserves the right to change these terms and conditions at any time.
    1.3. If these terms and conditions are amended then you will be required to accept the amended terms and conditions prior to any future payment being made to you.
    1.4. If you do not agree to these terms and conditions then:
    1.4.1. You must not use this website; and
    1.4.2. If you have a member account then you should send an email to the support desk requesting that your membership be terminated.
    1.5. These terms and conditions apply only to the services provided by Reward Matrix. You acknowledge and accept that any transactions with any third party supplier either featured on or linked to by the Reward Matrix website will be governed by the terms and conditions of that third party supplier and your contract for delivery of the third party’s goods or services will be with that third party, not Reward Matrix.
  2. Member Accounts

    2.1. Membership is open to individuals or businesses. Individuals must be resident in the United Kingdom. Businesses must have a physical location in the United Kingdom.
    2.2. Student membership is available to individuals under 18 years of age. Full membership is available to individuals 18+ years of age.
    2.3. Members may only have one membership account at any one time.
    2.4. Any attempt to open more than one account will result in termination of your membership. Any cashback credits on the terminated account will be forfeited.
    2.5. Members are required to provide a valid email address and home address (if an individual member) or business address (if a business member) as a condition of membership. This is necessary to enable ‘self bill’ invoices to be created on behalf of the member and for administrative communication about your account.
    2.6. Reward Matrix reserves the right to suspend and/or terminate your account at any time without notice. In the event of termination any cashback credits held within your account will be forfeited.
    2.7. In the event that no activity takes place against your account for a period of 12 months then your account will be regarded as being dormant and Reward Matrix reserves the right to terminate your membership.
    2.8. Members are responsible for ensuring that they fulfil any taxation obligations that they incur as a result of receiving cashback.
    2.9. Reward Matrix cannot be held responsible for any actions relating to your account which take place by someone else using your password. It is imperative that you treat your account details as being strictly confidential.
    2.10. If, due to an error, the cashback credit balance in a member account exceeds the correct value then the member must inform Reward Matrix as soon as possible. Knowingly requesting payment of cashback credits that are not due to the member would constitute fraud.
    2.11. Members must ensure that fees due to Reward Matrix (if any) are paid in accordance with the stated payment terms on presentation of a request for payment from Reward Matrix.
  3. Member Conduct

    3.1. Continuing membership is conditional on members acting in an ethical manner. This includes:
    3.2. Conforming to the terms and conditions of any offers displayed on the Reward Matrix website or third party suppliers’ websites that are linked to from the Reward Matrix website
    3.3. Not acting in a manner intended to fraudulently gain cashback credits
    3.4. Not sending unwanted emails (‘spam’) to others in an attempt to encourage them to either visit the Reward Matrix website or become a member of the Reward Matrix website
    3.5. Not distributing details to any third parties or other websites of any offers that may be displayed on the Reward Matrix website for the benefit of the Reward Matrix membership.
    3.6. Not allowing another person to use your account and not revealing your password to another person either directly or indirectly.
  4. Offers

    4.1. Reward Matrix provides members with access to a number of promotional offers (‘Offers’) from third party suppliers. These Offers take several forms, amongst them being cashback rebates, special offers and discounts.
    4.2. Reward Matrix reserves the right to amend, restrict or remove Offers at any time without notice. For the avoidance of doubt, the published rates for cashback credits are indicative only and Reward Matrix reserves the right to amend, restrict or remove any cashback credits that are deemed to have been awarded in error.
    4.3. All Offers are the responsibility of the individual third party supplier. Reward Matrix presents details of the Offer to the best of its knowledge, however, members should check the validity and current terms and conditions of Offers (excluding cashback credits) with the third party supplier at the time of making a purchase. Offers cannot be used in conjunction with any other Offers unless otherwise stated.
    4.4. Members must not use discount codes found elsewhere on the web (such as other websites, forums, etc) when making purchases using their Reward Matrix account. Discount codes found elsewhere on the web may have been issued exclusively to other sites and their use may result in the non-payment of cashback credits by the supplier.
  5. Cashback

    5.1. A number of the third party suppliers listed on the Reward Matrix website offer a cashback credit on qualifying purchases.
    5.2. Cashback credits can only be gained when a member is logged onto their account and has clicked through to a third party supplier using a link on the Reward Matrix website. The member must ensure that their hardware and software is correctly set-up to enable transactions to be tracked by the third parties involved. Reward Matrix cannot accept any liability for the failure of either the member’s or any third party systems to perform the tracking of any transactions.
    5.3. Unless otherwise stated transactions will only be eligible for cashback credits if the entire transaction is performed online via the third party supplier’s website. No cashback credits will be received on orders placed by phone or by post. If any part of the transaction is not performed online, including making any changes or enquiries relating to the transaction then no cashback credits will be paid by the third party supplier.
    5.4. Cashback credits are only added to your account when the third party supplier confirms your transaction is valid and makes the payment relating to that transaction to Reward Matrix. Please note that this will often take 30 days or longer, depending on such factors as the frequency of transaction tracking updates and the refund policies of the individual third party suppliers.
    5.5. If a refund takes place against a transaction or a transaction is reversed for any reason then no cashback credit will be paid by the third party supplier. If necessary your membership account balance will be adjusted to reflect the actual cashback credit due to you.
    5.6. Reward Matrix cannot be held liable for any failure by a third party supplier to report a transaction for any reason.
    5.7. The member must inform Reward Matrix if a transaction with a third party supplier has not been logged in their account within 30 days of performing the transaction otherwise Reward Matrix will be unable to make enquiries relating to that transaction in an attempt to recover the cashback due to the member. Under no circumstances should the member attempt to contact the third party supplier direct in relation to recovering cashback credits relating to any transaction.
    5.8. If a third party supplier does not make a payment to Reward Matrix relating to any transaction then no cashback credits will be due to the member. Reward Matrix will attempt to recover the cashback that may be due to the member, but the third party supplier’s decision will be final in determining whether a cashback payment is made to Reward Matrix. Please note that Reward Matrix cannot pursue queries relating to cashback values under £1 as most third party suppliers will not accept such queries due to the administrative costs of investigating such small amounts.
    5.9. All cashback will remain the property of Reward Matrix until payments have been cleared into the member’s receiving bank account.
    5.10. For accounting purposes the cashback credits shown within a member’s account have a nominal value of £0.0001 for every £1 of cashback credits earned by the member. When a payment is made to the member then the cashback credits are converted at a rate of £1 of cashback credits being equivalent to £1 due to the member.
    5.11. Where cashback has been paid to a member and at a later date the transaction is reversed by the third party supplier then Reward Matrix reserve the right to claim this payment back from the member, either by requesting payment of the reversed amount from the member or offsetting the reversed amount against any cashback credits held in the member’s account.
  6. Payments

    6.1. Members can request a payment when their validated cashback credit balance reaches the current payment threshold. The current payment threshold is shown within the Member Accounts section of the Reward Matrix website.
    6.2. Reward Matrix reserves the right to change the payment threshold without notice.
    6.3. Reward Matrix aims to issue payments within 14 days of the member submitting a valid payment request.
  7. Self Bill Invoices

    7.1. In order to simplify the administration process and not delay payments, we require members to agree to Reward Matrix ‘self billing’, whereby Reward Matrix raises an invoice on behalf of the member (including VAT where applicable). As Reward Matrix will ‘self bill’ for payments due to the member, VAT invoices must not be issued by you.
    7.2. This ‘self billing’ agreement will terminate at the same date that your membership terminates.
    7.3. A copy of the ‘self bill’ invoice can be accessed in the Member Account area of the Reward Matrix website and members should ensure that they print out and retain the ‘self bill’ invoice generated for each payment that they receive.
    7.4. Businesses that are VAT registered must specify their VAT number against their Member Account details. If the VAT number is subsequently changed or cancelled, members must ensure that they update their Member Account details.
    7.5. Members will be entirely responsible for any taxation that may be payable as a result of the payment made under this agreement.
  8. Donations and Gift Aid

    8.1. Reward Matrix offers the ability for certain Members to make donations to nominated charities or other funds. Reward Matrix undertakes to make reasonable efforts to ensure that any donations reach the intended charity or fund. Reward Matrix shall have no liability to the charity or fund or to the Member in relation to these donations.
    8.2. In the event of the Member having indicated to Reward Matrix the intention to make a donation including the use of Gift Aid then the Member must ensure that their personal circumstances qualify according to the then current legal requirements relating to Gift Aid.
    8.3. If Gift Aid applies then Reward Matrix will ensure that the charity receiving the donation undertakes that it will not use information provided by the donor for any purpose other than reclaiming tax.
    8.4. Reward Matrix shall have no liability to the charity or to the Member in relation to the giving or obtaining of Gift Aid.
  9. Marketing Information

    9.1. Newsletters and other marketing material will be sent to you to enable you to maximise the benefits of your membership. You can choose to ‘opt in’ to receive these items or ‘opt out’ so that you do not receive these items. This is done within your Member Account area on the website.
    9.2. In accordance with the Reward Matrix privacy policy your email address will not be sold, shared or rented to any third party.
  10. Copyright/Intellectual Property

    10.1. The content of Reward Matrix (including without limitation the website design, text, graphics and all software and source codes connected with the website) and the links are protected by copyright, trade marks, patents and other intellectual property rights and laws.
    10.2. You do not obtain any rights under this agreement in any intellectual property, including, without limitation, any intellectual property rights in the links.
  11. Disclaimers and Limitation of Liability

    11.1. The Reward Matrix website and any associated printed material contains Offers and marketing information provided by third party suppliers. Reward Matrix does not accept liability for any errors or omissions contained within such material.
    11.2. Reward Matrix cannot accept any responsibility for the content of any third party websites linked to by the Reward Matrix website.
    11.3. The Reward Matrix service is provided on an ‘as is’ basis without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
    11.4. Reward Matrix will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of this website.
    11.5. Reward Matrix makes no warranty that the functionality of the website will be uninterrupted or error free, that defects will be corrected or that the website or the server that makes it available are free of viruses or anything else which may be harmful or destructive.
  12. General

    12.1. The failure of Reward Matrix to exercise any provision within this agreement or to insist upon strict compliance with any of the terms of this agreement shall not constitute a waiver of the terms and conditions of this agreement, nor a waiver by Reward Matrix of its rights at any time thereafter to require exact and strict compliance with all the terms of the agreement.
    12.2. This agreement shall be governed by and construed in accordance with the laws of England.
